1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MemeAnything ("we," "our," or "us") regarding your access to and use of the MemeAnything website, mobile application, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the right, authority, and capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

4. Subscriptions and Payments

4.1 Subscription Plans

MemeAnything offers various subscription plans and credit packages. By subscribing to a plan or purchasing credits, you agree to pay the applicable fees as described on our website at the time of your purchase. All payments are non-refundable except as expressly provided in these Terms or when required by law.

4.2 Billing

Subscription fees will be billed in advance on a recurring basis, depending on the subscription cycle you select (monthly or annual). You authorize us to charge your chosen payment method for the subscription fees and any applicable taxes.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each subscription period unless you cancel it before the next billing date. You can cancel your subscription at any time through your account settings.

4.4 Price Changes

We reserve the right to change our subscription fees at any time. If we do change prices, we will provide notice of the change on the website or via email at least 30 days before the change takes effect. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.

4.5 Credits

MemeAnything uses a credit system for generating memes. Credits may be acquired through subscription plans or purchased separately. Credits acquired through subscription will be issued on a monthly basis and may roll over subject to maximum limits. Purchased credits do not expire. We reserve the right to modify the credit system, including changing the allocation, pricing, or functionality of credits.

5. User Content and Copyright

5.1 Your Responsibility for Uploaded Content

BY UPLOADING ANY IMAGE OR CONTENT TO MEMEANYTHING, YOU REPRESENT AND WARRANT THAT:

  • You own all rights to the content you upload, OR
  • You have obtained all necessary permissions, licenses, or rights from the copyright owner(s) to use the content
  • Your use of the content does not infringe upon any third party's intellectual property rights, privacy rights, or other legal rights

YOU ASSUME ALL LEGAL RESPONSIBILITY FOR THE CONTENT YOU UPLOAD AND THE MEMES YOU CREATE. MEMEANYTHING IS NOT RESPONSIBLE FOR COPYRIGHT INFRINGEMENT, TRADEMARK VIOLATIONS, OR ANY OTHER LEGAL ISSUES ARISING FROM YOUR USE OF UPLOADED CONTENT.

5.2 Copyright Disclaimer

MemeAnything is a tool that allows users to create memes. We do not screen, verify, or validate the copyright status of images uploaded by users. We are not responsible for:

  • Determining whether you have the right to use any uploaded content
  • Any copyright infringement resulting from your use of the Service
  • Any legal consequences arising from your creation or distribution of memes
  • Verifying ownership or licensing of uploaded images

5.3 Ownership and License

You retain all rights to the memes and other content you create using our Service ("User Content"), subject to the rights of the original copyright holders of any uploaded images. By creating and sharing User Content through our Service, you grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, display, reproduce, modify, and distribute your User Content in connection with operating and promoting the Service.

5.2 Content Restrictions

You agree that you will not post, upload, or share any User Content that:

  • Infringes or violates the intellectual property or other rights of any third party
  • Violates any law or regulation
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable
  • Contains nudity, excessive violence, or offensive subject matter
  • Jeopardizes the security of your account or anyone else's account
  • Attempts to impersonate another person or entity
  • Promotes illegal or harmful activities

We reserve the right to remove any User Content that violates these restrictions or otherwise violates these Terms, without prior notice to you.

5.3 Monitoring and Enforcement

We have the right, but not the obligation, to monitor all User Content. We may, in our sole discretion, remove or disable access to any User Content that we determine violates these Terms or may be otherwise illegal or offensive.

6. Intellectual Property Rights

6.1 MemeAnything Content

Unless otherwise indicated, the Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by MemeAnything, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal, non-commercial use.

6.3 Restrictions

You agree not to:

  • Copy, modify, or create derivative works based on the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Remove any copyright, trademark, or other proprietary notices from the Service
  • Use the Service in any way that could damage, disable, overburden, or impair the Service
  • Use any robot, spider, or other automatic device to access the Service
  • Use the Service for any illegal or unauthorized purpose

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEMEANYTHING, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

9. Indemnification

You agree to defend, indemnify, and hold harmless MemeAnything, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third party rights, including without limitation any copyright, trademark, property, or privacy right
  • Any claim that your User Content caused damage to a third party
  • Any claim related to copyright infringement arising from content you upload or memes you create

This indemnification obligation will survive the termination of these Terms and your use of the Service.

10. DMCA Compliance

MemeAnything respects the intellectual property rights of others. If you believe that any content on our Service infringes your copyright, please send a DMCA takedown notice to our designated agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and where it is located on the Service
  • Your contact information, including address, telephone number, and email
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

DMCA notices should be sent via our contact form selecting "Copyright/DMCA" as the subject.

11. Term and Termination

These Terms shall remain in full force and effect while you use the Service. We may, without prior notice, terminate your access to the Service, or any portion thereof, for any reason, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

Upon termination of your access to the Service, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the federal or state courts located in San Francisco County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will post the revised Terms on the website and update the "Last Updated" date at the top of these Terms. By continuing to access or use the Service after we have posted revised Terms, you agree to be bound by the revised Terms.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by MemeAnything on the Service, shall constitute the entire agreement between you and MemeAnything concerning the Service.
